Terms of Service

1. Acceptance of Terms

By accessing or using DARUM.Studio ("Platform"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform. These Terms constitute a binding agreement between you and DARUM GROUP LLC, a Michigan limited liability company.

2. Description of Service

DARUM.Studio is a private marketing operations console used internally by DARUM GROUP LLC to plan, produce, publish, and measure content for its owned brands across multiple social channels including YouTube, Instagram, and TikTok. DARUM.Studio is not a publicly offered SaaS.

3. Authorized Access

Access to the Platform is restricted to authorized operators of DARUM GROUP LLC. You agree to keep credentials secure, notify us immediately of unauthorized access at support@darumgroup.com, and accept responsibility for all activity under your account.

4. Acceptable Use

You agree to use the Platform only for the operation of DARUM GROUP LLC's own social media presence and to comply with the terms, community guidelines, and developer policies of every connected platform — including TikTok's Terms of Service, Community Guidelines, and Developer Terms of Service. You may not use DARUM.Studio to publish content you are not authorized to post on behalf of the connected account.

5. Third-Party Platforms

DARUM.Studio integrates with TikTok, YouTube, Instagram, and other platforms via their official APIs. Your use of those integrations is also subject to the respective platform's terms and policies. We are not responsible for changes vendors make to their APIs, scopes, or review requirements.

6. Intellectual Property

All software, content, designs, and trademarks of DARUM.Studio are owned by or licensed to DARUM GROUP LLC. You receive a limited, non-exclusive, non-transferable license to use the Platform for internal business purposes only. You may not copy, modify, reverse engineer, or create derivative works without our prior written consent.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DARUM GROUP LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED ANY AMOUNTS YOU HAVE PAID TO DARUM GROUP LLC IN THE THREE MONTHS PRECEDING THE CLAIM.

8. Termination

DARUM GROUP LLC may suspend or terminate access at any time for violation of these Terms or for harmful conduct. Upon termination, OAuth tokens are revoked and access ceases immediately.

9. Governing Law

These Terms are governed by the laws of the State of Michigan, USA. Disputes shall be resolved exclusively in Michigan state or federal courts.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by a new Effective Date and, where applicable, communicated to the operator.
